Terms of Use

These Terms govern the use of the Meritup mobile application ("the App") provided by Nicholas Urru ("the Provider") and include the provisions required by the Apple App Store (Schedule 2 of the Paid Apps Agreement) and the Google Play Developer Distribution Agreement. By using the App the user accepts these Terms.

1. Subject matter

Meritup is an intermediation platform connecting Workers (professionals, service providers) and Users (clients, employers). The Provider is not a party to the relationship between Worker and User.

2. Registration

The user warrants the accuracy of information provided and is responsible for their credentials. Minimum age: 16.

4.2 Billing and renewal

Payment is charged to the user's Apple ID or Google Play account upon confirmation. Subscriptions auto-renew at the same price and duration unless cancelled at least 24 hours before the end of the period. Renewal charge is made within 24 hours before expiry.

4.4 Free trials

Any free trial converts automatically to paid unless cancelled at least 24 hours before expiry.

4.5 Refunds

Refunds are handled by Apple or Google Play per their policies.

4.6 Right of withdrawal

By starting to use Premium benefits immediately after purchase, the user expressly consents to immediate service delivery and acknowledges the loss of the right of withdrawal under Art. 59(1)(o) of the Italian Consumer Code.

5. Tips and user-to-user payments

Tips sent by Users to Workers represent payment for a service rendered outside the App and are processed via Stripe (Apple Guideline 3.1.5(a), equivalent Google policy). The Provider retains a platform fee disclosed to the Worker at onboarding. Card data is not stored by the Provider.

6. Conduct

Users may not upload illegal, defamatory, discriminatory, or sexually explicit content; solicit illegal services; spam or phish; impersonate others; misrepresent qualifications; or bypass App security. Violations lead to suspension or account deletion.

7. User-generated content

Users retain ownership of content uploaded and grant the Provider a non-exclusive, royalty-free, revocable licence to display it within the App solely to provide the service.

8. Intellectual property

The App, "Meritup" trademark, software, text, graphics and logos belong to the Provider or its licensors.

9. Limitation of liability

The Provider is not responsible for the contractual relationships between Users and Workers or for qualifications declared by them. To the extent permitted by law, the Provider's aggregate liability is limited to the fees paid by the user in the prior 12 months. These limitations do not apply to consumers for wilful misconduct or gross negligence, nor to mandatory rights under the Italian Consumer Code.

10. Apple clause — Third-party beneficiary

These Terms are entered into between the user and the Provider, not Apple. Apple is not responsible for the App or its contents. If the App fails to conform to any applicable warranty, the user may notify Apple who will refund the purchase price. Apple is a third-party beneficiary of these Terms and has the right to enforce them against the user.

11. Governing law and jurisdiction

These Terms are governed by Italian law. Consumers benefit from the jurisdiction of their residence. Consumers may use the EU ODR platform.

12. Changes

Material changes are notified in-app at least 15 days in advance.
